Legal Counsel – Japan (Hybrid, Full Time)

A leading pan-Asian renewable energy platform specializing in utility-scale solar, wind, energy storage, and hybrid renewables projects is seeking an experienced and commercially minded Legal Counsel for its Japan team. Role Summary

As Legal Counsel, you will serve as the local legal subject matter expert and trusted advisor to the Japan business and the wider Group legal function. Acting as a bridge between Group legal and local execution, you will ensure alignment with corporate governance standards while providing hands-on, practical, and commercially focused legal support to transaction teams and day-to-day business operations in Japan.

You will support a broad range of transactions and project development activities—including acquisitions, divestments, permitting, procurement, financings, joint ventures—across various project phases from development and construction through to operations. You will also advise on general corporate and business law matters, manage legal risk, and ensure regulatory compliance.

How You Will Make an Impact

  • Provide legal support to transaction teams pursuing new opportunities in Japan, including acquisitions, divestments, financings, forming joint ventures, and managing interests in projects during development, construction, and operations.
  • Advise on general business law issues and manage legal matters across all areas of the company, including corporate, compliance, land, permits, disputes, procurement, safety, security, insurance, and sustainability.
  • Support transaction and project teams on a wide range of contracts (e.g., MoUs, term sheets, share purchase agreements, joint development agreements, credit support agreements, bidding agreements, NDAs, engagement letters, service contracts, intragroup funding agreements, land-related agreements, commercial contracts, exclusivity letters).
  • Assist teams with acquisition due diligence and the development of projects (solely or with partners).
  • Identify and manage compliance with applicable laws and regulations relevant to operations in Japan (including competition, merger control, and foreign direct investment requirements).
  • Develop and improve policies, procedures, precedents, and guidance for the legal team and other departments.
  • Anticipate and manage legal risks connected with business strategy, project execution, and operations.
  • Coordinate with the Group legal team on document templates and updates.
  • Coordinate with the General Counsel on incidents, breaches, and policy compliance (including Anti Bribery and Corruption).
  • Manage the procurement, engagement, and instruction of external counsel.
  • Work with senior management and stakeholders to secure internal approvals.

What Makes You a Great Fit

  • Excellent written and verbal communication skills in Japanese and English.
  • Degree in law; qualification to practice law in Japan or a comparable civil law jurisdiction (common law jurisdictions may also be considered).
  • At least 3+ years of relevant experience in energy, real estate, infrastructure, or general commercial sectors in Japan; experience in renewable energy is a plus.
  • Analytical and strategic thinking skills for assessing complex policies and changing environments.
  • Ability to articulate, influence, and promote ideas with internal and external stakeholders.
  • Effective decision-making and delegation skills for prioritizing and completing projects.
  • Strong negotiation skills for interacting with government, investors, partners, lenders, off-takers, service providers, and contractors.
  • Ability to deliver high-quality work under tight deadlines.
  • Assertiveness, responsiveness, commercial focus, pragmatism, autonomy, and initiative.
  • Strong interpersonal skills in a multicultural environment.
